By accessing or using this website and our related online resources, you are agreeing to these Terms of Use. If you do not agree, please do not use the Site or our services.

These Terms of Use (“Terms,” “Agreement”) form a legally binding agreement between you (“you,” “your,” or “user”) and Metamorphosis Coaching, Consulting, & Training, LLC (“Metamorphosis CCT,” “we,” “us,” or “our”).


1. Scope of These Terms & Acceptance

1.1 Who we are.
These Terms govern your access to and use of:

  1. Our primary websites and subdomains, including but not limited to:

    • Any other websites, landing pages, or online resources we control (collectively, the “Site”).

  2. Any online courses, memberships, digital products, downloads, live or virtual events, training materials, or coaching/consulting services you purchase or access from us (collectively, the “Services”).

1.2 Binding agreement.
By accessing, using, subscribing, or placing an order through the Site, you:

  1. Confirm that you are at least 18 years old (or the age of majority in your jurisdiction, if higher).

  2. Have the legal capacity and authority to enter into this Agreement on your own behalf and/or on behalf of your business.

  3. Agree to be bound by these Terms, and our Privacy Policy, which is incorporated by reference and available at:

1.3 Business use.
Our programs and services are primarily intended for business owners, leaders, and professionals. By using the Site and Services, you represent that you are using them for professional or business purposes, not as a private consumer.


2. Changes to These Terms

We may update or modify these Terms from time to time. When we do:

  1. We will post the updated version on the Site with a new “Effective Date.”

  2. Your continued use of the Site or Services after any changes are posted constitutes your acceptance of the updated Terms.

If you do not agree with any changes, you must stop using the Site and Services.


3. Site Content, License & Intellectual Property

3.1 Ownership of Content.
The Site and all content made available on or through it (collectively, the “Content”) are owned or licensed by Metamorphosis CCT and/or our third-party providers. This includes, without limitation:

  1. Course and training materials (videos, slide decks, PDFs, workbooks, audio files).

  2. Text, data, graphics, logos, icons, photographs, illustrations, and images.

  3. Layout, look and feel, design, and compilation.

  4. HTML/CSS, JavaScript, and other code.

  5. Trademarks, service marks, trade names (including “Metamorphosis Coaching, Consulting, & Training”, “Metamorphosis CCT”, and related marks), and logos.

Unless otherwise noted, all Content is protected by copyright, trademark, and other intellectual property laws.

3.2 Limited license to you.
Subject to your strict compliance with these Terms and any specific program or course agreements, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to:

  1. Access and view the Site and Content; and

  2. Use the Content for your own personal or internal business purposes only.

3.3 Prohibited uses of Content.
Except as expressly allowed by us in writing, you may not:

  1. Copy, reproduce, republish, upload, post, transmit, distribute, or publicly display any Content.

  2. Sell, license, sublicense, or exploit any Content for commercial purposes (other than applying it within your own business).

  3. Create derivative works based on the Content.

  4. Remove or alter any copyright, trademark, or proprietary notices.

Any unauthorized use of the Content may violate intellectual property laws and could result in civil or criminal penalties.

3.4 Your submissions & feedback.
If you send us comments, feedback, testimonials, ideas, notes, or other materials (collectively, “Submissions”):

  1. You understand that we may use those Submissions for any lawful purpose, including marketing, training, or product improvement.

  2. You grant Metamorphosis CCT a perpetual, worldwide, royalty-free, irrevocable, non-exclusive, and sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, perform, display, and create derivative works from such Submissions in any media.

  3. We may edit for length, clarity, or grammar but will not materially distort your meaning.

You should not send any confidential or proprietary information through the Site unless we expressly agree in a separate written contract.

3.5 Claims of intellectual property infringement.
If you believe that any Content or material on the Site infringes your copyright or other intellectual property rights, please contact us at:

4. User Conduct & Prohibited Activities

When using the Site or Services, you agree that you will not:

  1. Use the Site for any unlawful, harmful, or fraudulent purpose.

  2. Upload, transmit, or distribute malware, viruses, or other malicious code.

  3. Attempt to interfere with or compromise the security or integrity of the Site, our systems, or any user accounts.

  4. Scrape, crawl, harvest, or otherwise copy Content (including via bots, crawlers, or “screen scraping”) except as explicitly permitted.

  5. Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

  6. Post or transmit any content that is obscene, defamatory, harassing, hateful, discriminatory, threatening, or otherwise objectionable.

  7. Use the Site to send spam or unsolicited commercial communications, in violation of CAN-SPAM, TCPA, or other applicable laws.

  8. Upload or store highly sensitive personal information of others (e.g., social security numbers, full payment card details, health records) in our systems.

We reserve the right (but not the obligation) to monitor, remove, or restrict content or accounts that we determine, in our sole discretion, violate these Terms or harm our community.


5. Accounts, Registration & Security

5.1 Account creation.
To access certain Services (e.g., online courses, membership areas), you may be required to create an account. You agree to:

  1. Provide accurate, current, and complete information.

  2. Maintain and promptly update your information if it changes.

  3. Keep your login credentials confidential and not share them with others.

5.2 Responsibility for your account.
You are responsible for all activities that occur under your account, whether authorized by you or not. If you suspect unauthorized access or use of your account, you must notify us promptly at metamorphosiscct@gmail.com.

We reserve the right to suspend or terminate accounts that we believe are being misused.


6. Orders, Payments, Subscriptions & Refunds

6.1 Orders & payment.
When you purchase Services (courses, coaching, events, etc.) through the Site:

  1. You authorize us and our payment processors (e.g., Stripe, Kajabi Payments) to charge your chosen payment method for the full amount displayed at checkout, plus applicable taxes.

  2. You agree that all information you provide in connection with a purchase is true, accurate, and authorized.

6.2 Subscriptions & recurring billing.
Some offerings may be sold on a subscription or installment basis. If so:

  1. You authorize us to automatically charge your payment method on a recurring basis (e.g., monthly, annually, or per the plan you selected) until you cancel in accordance with the specific program terms.

  2. If you wish to cancel a recurring subscription, you must do so via your account or by contacting us at metamorphosiscct@gmail.com with reasonable notice, as described on the specific offer or program page.

6.3 Refunds.
Because our Services often include digital access, intellectual property, and live/limited-capacity events, refund policies may vary by program and will be clearly stated on the corresponding sales or registration page.

Unless a specific program or offer page expressly provides a refund guarantee:

  1. All sales are final and non-refundable once access is granted or services have begun.

  2. Cancelling a subscription stops future charges but does not entitle you to a refund of past payments, unless otherwise stated in writing.

Always refer to the specific refund policy presented at the point of purchase. Where there is a conflict between these Terms and a program-specific refund policy, the program-specific policy will control for that purchase.


7. No Guarantees of Results & Your Responsibilities

7.1 No earnings or outcome guarantees.
Every business and individual is different. Your results from using our Site, courses, coaching, or frameworks will depend on many factors, including your business model, industry, market conditions, existing team, implementation, and personal effort.

Accordingly, you understand and agree that:

  1. We do not promise, guarantee, or warrant any specific results, revenue, profit, or outcomes.

  2. We do not offer “get rich quick” programs, business opportunities, or guaranteed income systems.

  3. Any testimonials or case studies we share represent the experiences of specific individuals or businesses and do not guarantee that you will achieve the same results.

7.2 Your responsibility to comply with law.
You are solely responsible for your own business and must comply with all applicable laws, including (without limitation):

  1. Advertising and marketing laws (e.g., truthful advertising, claims substantiation).

  2. Email and SMS marketing laws (e.g., CAN-SPAM, TCPA).

  3. Data protection and privacy laws that apply to your use of customer data.

  4. Employment, tax, and other regulations relevant to your business, employees, or independent contractors.

Metamorphosis CCT does not provide legal, accounting, or tax advice. We recommend you consult with your own professional advisors.


8. Privacy, Data Protection & Cookies

8.1 Privacy Policy.
Your use of the Site is also governed by our Privacy Policy, which explains:

  1. What personal information we collect.

  2. How we use and share it.

  3. Your rights under applicable data protection laws (e.g., GDPR, CCPA/CPRA where applicable).

  4. How we use tools like Google Analytics, cookies, remarketing pixels (e.g., Google Ads, Facebook/Meta, AdRoll), and reCAPTCHA.

By using the Site, you acknowledge that you have read and understood the Privacy Policy.

8.2 International users & GDPR.
If you access our Site from the European Economic Area, UK, or other regions with data protection laws, we process your personal information in line with our Privacy Policy and rely on lawful bases such as legitimate interests, consent, contract performance, or legal obligations, as applicable.


9. Email, SMS & Other Communications

9.1 Email & SMS consent.
By providing your email address or mobile phone number through our Site, forms, or in conversation with us, you acknowledge and agree that, consistent with our Privacy Policy and applicable law, we may:

  1. Send you transactional messages related to your purchases, account, or event registrations.

  2. Send you marketing messages (email and/or SMS) if you have opted in or if we are otherwise permitted by law.

  3. Provide reminders, updates, and helpful content related to leadership, communication, DISC, EQ, and related topics.

Your specific SMS consent language and scripts (e.g., double opt-in, “STOP” to unsubscribe, “HELP” for help) are described in your SMS section of the Privacy Policy and on opt-in forms. Message and data rates may apply.

9.2 Opting out.
You may opt out of marketing communications at any time:

  1. For emails: by clicking the “unsubscribe” link in the email or contacting us.

  2. For SMS: by replying STOP to any message or following instructions provided.

Opting out of marketing communications will not prevent us from sending transactional or legally required messages (e.g., purchase confirmations, legal notices).


10. Testimonials, Reviews, and User-Generated Content

10.1 Testimonials & reviews.
We love sharing client wins and stories. When you submit a written or video testimonial, success story, or review:

  1. You represent that the information is accurate and based on your honest experience.

  2. You grant Metamorphosis CCT the right to use your testimonial (in whole or in part), along with your name, city, state, business name, and/or headshot (if provided), in our marketing and educational materials, online and offline.

10.2 Public forums & community areas.
If we provide community features (e.g., discussion boards, comments, group chats):

  1. Anything you post may be visible to others.

  2. You are solely responsible for what you share.

  3. You should not post confidential or sensitive information.

We may moderate or remove posts, but we are not obligated to monitor all content.


11. Third-Party Tools, Links & Platforms

11.1 Third-party tools & services.
Our Site may integrate or interact with third-party platforms, including but not limited to:

  1. Kajabi (for course hosting).

  2. Mailchimp, Kajabi Email, or similar (for email campaigns).

  3. Google Analytics, Google Ads, Meta (Facebook/Instagram), AdRoll, and other ad/analytics services.

  4. Payment processors (e.g., Stripe).

These third parties may have their own terms and privacy policies, which govern your use of their services.

11.2 External links.
The Site may contain links to websites we do not control. We are not responsible for:

  1. The content, policies, or practices of those third-party sites.

  2. Any loss or damage arising from your use of those sites.

You should review the terms and privacy policies of any third-party sites you visit.


12. Disclaimers of Warranties

EXCEPT WHERE PROHIBITED BY LAW, THE SITE, CONTENT, AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:

  1. The Site or Services will be uninterrupted, timely, secure, or error-free.

  2. The Site or Services will meet your expectations or specific requirements.

  3. Any defects will be corrected.

  4. Any information obtained through the Site is accurate, complete, or reliable.

  5. The Site or any files available for download are free of viruses or other harmful components.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.


13. Limitation of Liability

EXCEPT WHERE PROHIBITED BY LAW, IN NO EVENT SHALL METAMORPHOSIS CCT, ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR:

  1. ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES;

  2. ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITIES;

  3. ANY LOSS OR DAMAGE RESULTING FROM:

    • YOUR USE OF (OR INABILITY TO USE) THE SITE OR SERVICES;

    • ANY ERRORS, OMISSIONS, INTERRUPTIONS, OR DELAYS;

    • ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR YOUR INFORMATION.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT, THE SITE, OR SERVICES, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT.

Some jurisdictions do not allow limitations on implied warranties or the exclusion or limitation of certain damages, so parts of this section may not apply to you.


14. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Metamorphosis CCT, its owners, officers, employees, contractors, and agents from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  1. Your use or misuse of the Site, Content, or Services.

  2. Your breach of these Terms or any other agreement with us.

  3. Your violation of any applicable law or the rights of any third party.

  4. Any content or information you submit, post, or transmit through the Site.

We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with us in the defense of such claims.


15. Dispute Resolution, Governing Law & Arbitration

15.1 Informal resolution first.
If a dispute arises between you and Metamorphosis CCT, you agree to first contact us at metamorphosiscct@gmail.com and attempt to resolve the matter informally in good faith.

15.2 Binding arbitration & class action waiver.
To the fullest extent permitted by law, any dispute, claim, or controversy arising out of or relating to:

  • These Terms,

  • The Site, Content, or Services, or

  • Your relationship with Metamorphosis CCT

shall be resolved through binding, confidential arbitration rather than in court, on an individual basis.

You waive the right to a jury trial and to participate in a class or representative action. The arbitrator may not consolidate claims or preside over any form of class or representative proceeding.

15.3 Arbitration rules & forum.
Unless we mutually agree otherwise:

  1. Arbitration will be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

  2. The seat of arbitration will be Minnesota, USA (or conducted via video/phone if both parties agree).

  3. The arbitrator will apply the substantive laws of the State of Minnesota, without regard to conflict-of-law principles.

15.4 Exceptions.
Either party may seek:

  1. Temporary or preliminary injunctive relief in a court of competent jurisdiction in Minnesota to protect its intellectual property, confidential information, or prevent irreparable harm.

  2. Enforcement of an arbitration award in any court with jurisdiction.

15.5 Time limit.
To the extent permitted by law, any claim arising out of or related to this Agreement must be filed within one (1) year of the event giving rise to the claim, or it is permanently barred.


16. Governing Law & Venue

To the extent any dispute is not subject to arbitration, this Agreement is governed by the laws of the State of Minnesota, USA, without regard to its conflict-of-law principles.

Any such claims shall be brought exclusively in the state or federal courts located in Minnesota, and you consent to personal jurisdiction and venue in those courts.


17. Force Majeure

We are not liable for any delay or failure in performance resulting from events beyond our reasonable control, including but not limited to acts of God, labor disputes, pandemics, technical failures, power outages, supplier delays, or governmental actions.


18. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign this Agreement at any time to an affiliate, successor, or in connection with a merger, sale, or other corporate transaction.


19. No Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by us.


20. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.


21. Entire Agreement

These Terms, together with our Privacy Policy and any specific program or services agreements, constitute the entire agreement between you and Metamorphosis CCT regarding the Site and Services and supersede all prior or contemporaneous understandings, communications, or agreements.


22. How We May Communicate With You

By using the Site, submitting forms, or agreeing to these Terms, you understand and agree that, consistent with applicable law and our Privacy Policy, we may contact you via:

  1. Email

  2. Phone calls or voicemail

  3. SMS/text messages

  4. Postal mail

for purposes including, but not limited to:

  • Fulfilling your orders or registrations

  • Providing program or event information

  • Offering additional resources, updates, and promotional messages (with your consent where required)

Message and data rates may apply for SMS. You may opt out of marketing communications at any time as described in Section 9 and in our Privacy Policy.
